Micro Can Ltd – Terms and Conditions of Sale

These Terms and Conditions (“Terms”) govern all sales of equipment, parts, and services by Micro Can Ltd (“the Seller”, “we”, “us”) to any customer (“the Buyer”, “you”). By placing an order with Micro Can Ltd, you agree to be bound by these Terms.

1. Definitions

Equipment – any machinery, components, parts, or accessories supplied by Micro Can Ltd.

Contract – the agreement between Micro Can Ltd and the Buyer for the sale and purchase of Equipment and/or Services.

Services – installation, commissioning, maintenance, training, or any other related services provided by Micro Can Ltd.

Order – the Buyer’s written acceptance of a quotation or purchase order confirmed by Micro Can Ltd.

2. Quotations and Orders

All quotations are valid for 30 days unless stated otherwise.

A binding contract is formed only when Micro Can Ltd issues a written Order Confirmation.

Any changes requested after confirmation must be agreed in writing and may result in additional costs or lead-time adjustments.

Any alterations or modifications requested after signing off the order will be subject to additional charges, which shall be borne by the Buyer.

3. Prices and Payment

All prices are in GBP (£) unless otherwise stated.

Prices are exclusive of VAT, import duties, and delivery charges unless expressly stated.

Payment Terms:

  • A 30% non-refundable deposit is payable upon order placement.
  • The remaining 70% balance is payable prior to dispatch unless otherwise agreed in writing.

Title to the Equipment remains with Micro Can Ltd until full payment has been received.

Late payments may incur interest at 8% per annum above the Bank of England base rate, calculated daily.

4. Delivery and Risk

Delivery dates are estimates only and time is not of the essence.

Risk in the Equipment passes to the Buyer upon delivery to the Buyer’s premises or carrier, whichever occurs first.

The Buyer is responsible for unloading, storage, and insurance from the point of delivery.

5. Installation and Commissioning

Where installation or commissioning is included, the Buyer must ensure that all site requirements (space, power, air, drainage, etc.) are in place prior to the Engineer’s arrival.

Delays caused by the Buyer may result in additional charges for engineer time, travel, or accommodation.

6. Warranty and Performance

Micro Can Ltd warrants that all new Equipment will be free from defects in material and workmanship for 12 months from the date of delivery.

Performance and fill speeds quoted by Micro Can Ltd are based on tests conducted using water. Actual speeds may vary depending on the characteristics of the liquid being filled, including but not limited to viscosity, temperature, carbonation and presence of particulates. Such variations do not constitute a defect or grounds for compensation.

The composition, stability, and suitability of the liquid being canned is the sole responsibility of the Buyer. Micro Can Ltd shall not be liable for any change in the make‑up, carbonation, taste, separation, or quality of the liquid as a result of the canning process, storage, or handling.

This warranty does not cover:

  • Normal wear and tear.
  • Damage due to chemical corrosion
  • Misuse, neglect, or improper installation.
  • Alterations or repairs made by third parties without written approval.
  • Consumables and wear parts (e.g. seals, O-rings, gaskets, etc.).

Our liability under warranty is limited to repair or replacement of defective parts at our discretion.

7. Returns and Cancellations

Orders may not be cancelled or amended without written consent from Micro Can Ltd.

If cancellation is accepted, the 30% deposit remains non-refundable and the Buyer will be liable for all additional costs incurred to date, including materials, labour, and administrative expenses.

Returned goods must be approved in advance and returned in original condition at the Buyer’s cost.

8. Limitation of Liability

Micro Can Ltd shall not be liable for any indirect, incidental, or consequential loss, including loss of profit, production, or goodwill.

In all cases, our total liability shall not exceed the total Contract value paid by the Buyer.

9. Force Majeure

Micro Can Ltd shall not be liable for any delay or failure arising from events beyond our reasonable control, including but not limited to strikes, pandemics, transport delays, natural disasters, or shortages of materials.

10. Intellectual Property

All drawings, manuals, software, and documentation supplied remain the intellectual property of Micro Can Ltd and may not be copied or shared without prior written permission.

11. Confidentiality

Both parties agree to keep all business and technical information received from the other confidential and not to disclose it to third parties without written consent.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English courts.

13. Severability

If any clause of these Terms is found to be invalid or unenforceable, the remaining clauses shall remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede any prior communications, understandings, or agreements.
